Terms of Service

I provide custom software development on a project-by-project basis — including websites, web applications, mobile/desktop apps, trading bots, and on-chain tooling. The exact scope, deliverables, timeline, and price are agreed in writing for each engagement before any work begins.

Estimates shown on this site are rough indicative ranges, not formal quotes. A binding quote will be issued in writing within 24 hours of receiving your completed brief. Quotes are valid for 14 days unless otherwise stated.

All prices are exclusive of VAT and any third-party costs (hosting, domains, paid APIs) unless explicitly stated. The Client is responsible for procuring third-party services in their own name where appropriate.

An optional priority deposit reserves a delivery slot and signals commitment. Deposits are applied as credit against the final project invoice. Deposits are non-refundable once a delivery slot has been allocated, except where I am unable to commence work for reasons within my control.

• Each project follows a fixed scope and fixed delivery date agreed in advance.
• Changes outside the agreed scope are quoted separately as ”change requests”.
• One round of consolidated review feedback is included in the standard delivery.
• Additional review rounds beyond the agreed cycle are billed at the prevailing hourly rate.

Payment terms are agreed per project. By default: optional 25% priority deposit on commissioning, balance due within 7 days of delivery. Late payment beyond 14 days may accrue statutory interest under the UK Late Payment of Commercial Debts (Interest) Act 1998.

Once final payment has cleared, ownership of all bespoke code, designs, and content produced specifically for the Client transfers to the Client. I retain the right to use the project as a portfolio reference and to reuse generic, non-bespoke code patterns in future work.

Third-party libraries, frameworks, and tooling remain subject to their respective licences and are not transferred.

I will treat all non-public information disclosed by the Client as confidential and will not share it with third parties except as needed to deliver the project (e.g. hosting providers). A separate NDA can be signed on request.

My total aggregate liability under any project is limited to the fees paid by the Client for that project. I am not liable for indirect or consequential losses, lost profits, or loss of business. Nothing in these terms limits liability for fraud, gross negligence, or any liability that cannot be limited by law.

Either party may terminate a project for material breach if the other party fails to remedy the breach within 14 days of written notice. On termination, the Client pays for all work performed up to the date of termination, and I deliver work-in-progress assets in their current state.

These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the English courts.
